1. The Commission issued a temporary prohibition on the publication of a tender offer submitted by Radino PLC, Sofia City, for the purchase of shares of Kramex JSC, Sofia City, from the company’s other shareholders through the Investment Intermediary Financial House Ever Inc., Sofia City.

2. Sofia Invest Brokerage JSC, Sofia City, was divested of the right to effect transactions in securities for its own account and to underwrite issues of securities.

3. The Commission adopted at first reading Draft Regulation on the organization and operation of the Investors in Securities Compensation Fund. The Draft shall be published on the website of the Financial Supervision Commission.

4. The Commission adopted at first reading Draft Ordinance on the internal information and the internal persons, and on the unfair trade and securities market manipulation. The Draft shall be published on the website of the Financial Supervision Commission.

5. The Commission adopted at first reading Draft Insurance Code. The Draft shall be forwarded to all parties interested and shall be published on the website of the Financial Supervision Commission.

6. The Commission issued a voluntary health insurance licence to Health Insurance Institute PLC(undergoing a process of incorporation), Sofia City.
The said licence shall authorize the offering of three  health insurance packages :"hospital medical aid","extra-hospital medical aid", "health improvement and illness prevention".

7. The Commission did not issue a final prohibition on the publication of a tender offer submitted by I. S. Mihailov EOOD, Bourgas, for the purchase of shares of Monolit – Stil AD, Bourgas, from the company’s other shareholders through the Investment Intermediary BenchMark Finance AD, Sofia City.

3.The Commission adopted Ordinance on the amendment to Ordinance No 9 on the terms and procedures for valuation of assets and liabilities of supplementary pension funds and pension insurance companies, the value of the funds net assets, on calculation and announcement of the value of a unit , as well as on the requirements for maintaining individual accounts.The Ordinance shall be published in the State Gazete.

Димана Ранкова, заместник-председател на КФН, ръководещ управление “Надзор на инвестиционната дейност”, взе решение да се отпише “Дунав турс” АД, гр. Русе от регистъра на публичните дружества и други емитенти на ценни книжа, воден от Комисията за финансов надзор.

Димана Ранкова, заместник-председател на КФН, ръководещ управление “Надзор на инвестиционната дейност”, задължи “Филтекс” АД, гр. Пловдив в 7-дневен срок да отстрани непълнотите в представените отчети за първото и второ тримесечие на 2004. г.

Димана Ранкова, заместник-председател на КФН, ръководещ управление “Надзор на инвестиционната дейност”, задължи “НЕВЕН” АД, гр. Елхово и “ЕЛПРОМ ЗЕМ” АД, София,  в 7-дневен срок да отстранят непълнотите в представените отчети за първото и второ тримесечие на 2004 г.

Днес, 06.01.2005 г., на заседание на МС бе приет проект на Кодекс за застраховане. Целите на проекта са хармонизиране на българското законодателство с достиженията на правото на Европейския съюз в областта на застраховането, преодоляване на несъвършенствата и пропуските, установени в практиката по прилагането на действащите нормативни актове, както и осигуряване на по-висока ефективност на предварителния и текущия надзор с оглед по-пълна защита на интересите на застрахованите лица, и кодифициране на цялостната правна уредба на застрахователната дейност чрез обхващането й в единен нормативен акт – кодекс.

На свое заседание от 5 януари 2005 г. КФН взе следните решения :

1. Потвърди  проспект за вторично публично предлагане на емисия корпоративни, обезпечени облигации, издадени от „Стопанска и Инвестиционна Банка” АД. Емисията е в размер на 3500 броя обикновени, лихвоносни облигации с  номинална стойност 1000 евро всяка, с номинален лихвен процент – 7.5%, шестмесечни купонни плащания, дата на падеж 36 месеца след датата на издаване на облигационния заем.

2. Потвърди проспект  за вторично публично предлагане на емисия корпоративни, обезпечени облигации, издадени от „Евролизинг” ЕАД, гр. Пловдив. Емисията е  в размер на 1 000 000 лв.,  разпределени в 1 000  обикновени, лихвоносни облигации с  номинална и емисионна стойност 1000 лв. всяка, с лихвен процент –  10% –  на годишна база.

3. Потвърди проспект за вторично публично предлагане на емисия корпоративни облигации, издадени от ТБ „Юнионбанк” АД, гр. София. Емисията е  в размер на 10 000 000 евро, разпределени в 10 000 броя необезпечени обикнавени, лихвоносни облигации, с номинална и емисионна стойност 1000 евро всяка, срок на падежа – 60 месеца, с годишен лихвен процент – 7.2% и  с лихвени плащания на всеки шест месеца.

4. По искане на  „Дарик Асет Инвестмънтс” ООД Комисията взе решение да отнеме на издаденото им  разрешение за извършване на дейност като инвестиционен посредник

5. КФН прие  нормативна промяна в Наредба № 6 за капиталовата адекватност и ликвидността на инвестиционните посредници. Промяната е в  приложение към чл.27, ал.1, в таблица VВ, чл.19 а.
